Terms of Service

Template notice. This document is a starting template tailored to how tikets4U works. It is not legal advice. Please have a licensed attorney review it and complete the [bracketed] placeholders before publishing.

These Terms of Service ("Terms") are a binding agreement between you and Payzio Inc, a Delaware corporation doing business as "tikets4U" ("tikets4U," "we," "us," or "our"). They govern your access to and use of the tikets4U websites, applications, and services (collectively, the "Service").

By creating an account, checking a box indicating acceptance, purchasing or registering for a ticket, listing an event, or otherwise using the Service, you agree to these Terms and to our Privacy Policy and Refund & Cancellation Policy, which are incorporated by reference. If you do not agree, do not use the Service.

Arbitration notice. Section 17 contains a binding arbitration agreement and a class-action waiver. They affect how disputes are resolved. Please read them carefully.


1. Definitions

  • "Organizer" — a person or entity that creates, lists, manages, or sells access to an event through the Service.
  • "Buyer" or "Attendee" — a person who purchases a ticket to, or registers for, an event.
  • "Event" — any paid or free experience listed on the Service.
  • "Ticket" — a paid admission credential; "RSVP Invite" — a free admission credential.
  • "Content" — text, images, event details, guest lists, and other materials submitted to the Service.
  • "Stripe" — Stripe, Inc. and its affiliates, our payments and payouts processor.

2. The Service and our role

tikets4U is a ticketing and event-registration platform that connects Organizers with Buyers. Organizers create Events, set prices, capacity, and rules, and are solely responsible for their Events.

For paid Events, Payzio Inc acts as a limited payment-collection agent for the Organizer and as merchant of record for the transaction. Payments are processed by Stripe; Organizer payouts settle through Stripe Connect or, in countries we settle manually, directly by Payzio Inc. Transactions are denominated in U.S. dollars (USD) or Canadian dollars (CAD) based on the Organizer's billing address (postal or ZIP code).

We are not the organizer, promoter, producer, owner, or performer of any Event unless we expressly say so. We do not control and are not responsible for whether an Event takes place, its quality, safety, or legality.

3. Eligibility and accounts

  • You must be at least 18 years old, or the age of majority where you live, and able to form a binding contract.
  • We use passwordless verification: you sign in with a one-time code sent to your email or mobile number. You are responsible for keeping access to that email and phone secure and for all activity under your account.
  • Buyer accounts and Organizer (staff) accounts are separate, even when they share an email or phone. Organizer/admin sign-in occurs on our accounts portal.
  • You agree to provide accurate, current, and complete information and to keep it up to date. You may not impersonate any person or misrepresent your affiliation.

4. Buying tickets and registering

  • All prices appear in the Event's currency (USD or CAD). Applicable service fees, payment-processing fees, and taxes are shown before you confirm a purchase.
  • Tickets and RSVP Invites are issued as QR codes that may be bound to the purchasing or invited individual. They are single-use and validated at entry; a code that has already been scanned, or that fails signature verification, will be rejected.
  • Resale and transfer are disabled by default. Tickets may not be resold, transferred, or used commercially except where the Organizer has enabled transfers and you comply with their conditions. Unauthorized resale may result in cancellation without refund.
  • Admission is subject to the Organizer's rules and any disclaimers shown on the ticket or invite. The Organizer — not tikets4U — is responsible for honoring valid tickets and delivering the Event.

5. Free / RSVP events and host fees

Organizers may run free, invite-only ("RSVP") Events at which Attendees pay nothing. For these Events the Organizer pays tikets4U a flat host fee based on guest-list size (a "Host Plan"), charged to the Organizer's payment method when invites are sent and disclosed at the point of purchase. Each invited guest receives a personalized, single-use QR invite by email and/or SMS.

6. Organizer obligations

If you list Events, you represent and agree that:

  • You will complete identity verification (KYC) through Stripe before collecting payments for paid Events, and you will comply with the Stripe Connected Account Agreement and Stripe Services Agreement.
  • You are solely responsible for your Events — including delivery, content, safety, required licenses, permits, insurance, age restrictions, accessibility, accurate Event information, communications with Attendees, and honoring your stated refund and cancellation policy.
  • You have all rights necessary to list the Event and to use the names, logos, images, and other Content you submit, and that they do not infringe any third party's rights.
  • You will collect, remit, and report all taxes due on your sales except those we are required to collect and remit; you are responsible for your own income and business taxes.
  • You grant tikets4U a worldwide, non-exclusive, royalty-free license to host, display, reproduce, and promote your Event details, names, and marks for the purpose of operating and marketing the Service.

7. Acceptable use — what you can and cannot do

You may use the Service only for lawful events and lawful purposes. You may not use the Service to list, sell, promote, or facilitate, and Events may not involve:

  • anything illegal under applicable U.S. federal, state, or local law, or that promotes illegal activity;
  • weapons, firearms, ammunition, explosives, or regulated knives;
  • illegal drugs, controlled substances, or drug paraphernalia; tobacco, vaping, or alcohol sold in violation of law or without required licenses;
  • counterfeit, stolen, or infringing goods, or tickets you are not authorized to sell; ticket scalping or speculative resale;
  • adult/sexual services, human trafficking, or any child sexual abuse material;
  • gambling, lotteries, raffles, sweepstakes, or contests of chance that are not licensed and lawful;
  • fraud, scams, Ponzi or pyramid schemes, fake events, or events you do not intend or are not able to hold;
  • hate, harassment, violence, or terrorism — content or events that promote or threaten violence, or target people based on race, ethnicity, national origin, religion, disability, sex, gender, sexual orientation, or other protected characteristic;
  • regulated financial or investment offerings (securities, crypto token sales) without all required registrations and disclosures;
  • pharmaceuticals, medical devices, supplements, or health claims that are unlawful or misleading;
  • malware, phishing, or attempts to probe, scan, overload, or breach the Service or its security;
  • scraping or automated access without our written permission, or circumventing rate limits, ticket validation, or fees;
  • creating forged, duplicated, or tampered tickets or QR codes;
  • spam or messaging recipients (including uploaded guest lists) you are not authorized to contact, in violation of CAN-SPAM, TCPA, or similar laws;
  • infringing intellectual-property, privacy, or publicity rights of others.

We may remove any Event or Content, refuse service, withhold or reverse payouts, and suspend or terminate accounts that we reasonably believe violate this Section, in addition to any other remedies. This list is illustrative, not exhaustive.

8. Fees

We charge a platform service fee on paid Tickets and host fees on free/RSVP Events, disclosed at the time of the transaction. The platform service fee is tiered by ticket price (for example, a percentage of face value or a flat per-ticket amount depending on the price band), subject to a minimum per ticket. The current schedule is shown at checkout and may change prospectively.

Depending on the Organizer's setting, the platform service fee may be passed to the Buyer (added on top) or absorbed by the Organizer (deducted from proceeds). Sales tax and payment-processing fees are always paid by the Buyer. Except as required by law or stated in our Refund & Cancellation Policy, fees are non-refundable.

9. Payout Terms and Conditions (Organizers)

These payout terms apply to Organizers receiving funds for paid Events. They are part of these Terms.

9.1 Eligibility & KYC. Before any payout, you must complete Stripe identity verification (KYC) and provide valid bank/payout details. In countries we settle manually, you must provide the payout information we request. We may withhold payouts until verification is complete.

9.2 What you receive. Your payout equals gross ticket proceeds minus (a) the tikets4U platform service fee (if absorbed by you), (b) payment-processing fees, (c) applicable taxes we are required to collect and remit, (d) refunds and chargebacks attributable to your Events, and (e) any reserves, adjustments, or amounts you owe us. We settle in your payout currency (USD or CAD) per your billing address.

9.3 Timing. For Stripe-settled Organizers, payouts follow the Stripe payout schedule to your bank account (typically on a rolling basis after funds become available; first payouts may take longer). For manually-settled Organizers, we remit on the schedule disclosed to you. Funds for an Event may be held until after the Event date to cover refunds, disputes, and delivery risk.

9.4 Holds & reserves. We (or Stripe) may place a hold, reserve, or rolling reserve on some or all of your funds, or delay or suspend payouts, if we reasonably believe there is elevated risk — for example, high refund or dispute rates, suspected fraud, an unusually large or far-future Event, chargeback exposure, incomplete verification, legal process, or suspected violation of these Terms.

9.5 Refunds & chargebacks. You are responsible for funding all refunds and chargebacks on your Events, including the original payment-processing fees and any chargeback or dispute fees, which we may deduct from your balance or future payouts or charge to your payment method. If you cancel or materially change an Event, you must promptly refund affected Buyers in accordance with our Refund & Cancellation Policy and applicable law.

9.6 Negative balances. If refunds, chargebacks, fees, or adjustments exceed your available balance, you owe us the negative balance on demand. We may net it against current or future payouts across your Events, retry your payment method, and pursue collection.

9.7 Taxes & reporting. You are responsible for determining, collecting where you are the responsible party, remitting, and reporting your own taxes. Where required, we or Stripe may issue tax forms (for example, IRS Form 1099-K) and report your transactions to tax authorities; you must provide accurate taxpayer information (e.g., TIN/SSN/EIN) and a valid Form W-9 or equivalent when requested. Backup withholding may apply if you do not.

9.8 Errors & unclaimed funds. Report suspected payout errors promptly. Unclaimed or undeliverable funds may be handled in accordance with applicable unclaimed-property (escheat) laws.

10. Refunds and cancellations

Refunds, exchanges, and Event cancellations are governed by our Refund & Cancellation Policy and the Organizer's stated policy for the Event. All-sales-final Events are honored except where a refund is required by law, where an Event is canceled or materially changed, or as stated in that Policy. Organizers fund their own refunds (Section 9.5).

11. Taxes

Prices may be exclusive of tax. Where we are required to collect sales, use, or similar transaction taxes, they are calculated based on the Event's jurisdiction and shown to the Buyer at checkout. You are responsible for all other taxes arising from your use of the Service.

12. Intellectual property

The Service — including its software, design, text, and the tikets4U and Payzio names and logos — is owned by us or our licensors and protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the Service for its intended purpose. You retain ownership of Content you submit and grant us the license in Section 6 to operate and promote the Service. Do not copy, modify, reverse-engineer, resell, or create derivative works from the Service except as permitted by law.

13. Third-party services

The Service relies on third parties including Stripe (payments/payouts), Twilio (SMS), and email-delivery providers. Your use of features powered by them may be subject to their terms, and we are not responsible for third-party services, their content, or their availability.

14. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY EVENT WILL OCCUR AS DESCRIBED. EVENTS — INCLUDING THEIR QUALITY, SAFETY, LEGALITY, AND DELIVERY — ARE THE RESPONSIBILITY OF THE ORGANIZER.

15. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TIKETS4U AND PAYZIO INC, AND THEIR OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS, WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, DATA, OR GOODWILL. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE OR A TRANSACTION WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES WE EARNED ON THE TRANSACTION GIVING RISE TO THE CLAIM, OR (B) US $100. Some jurisdictions do not allow certain limitations, so parts of this Section may not apply to you.

16. Indemnification

You agree to indemnify, defend, and hold harmless tikets4U and Payzio Inc and their personnel from any claims, losses, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of or related to your Events, your Content, your use of the Service, your taxes, or your violation of these Terms or applicable law.

17. Dispute resolution — binding arbitration and class-action waiver

Please read this Section carefully — it affects your legal rights.

17.1 Informal resolution. Before starting an arbitration, you agree to first contact us at [legal@payzio.com] and give us 30 days to resolve the dispute informally.

17.2 Binding arbitration. Except as provided below, any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, before a single arbitrator. The arbitration will be governed by the Federal Arbitration Act. The seat/venue will be [New Castle County, Delaware], or, at your election, your home county within the United States, or by video/telephone. The arbitrator may award the same individual relief a court could.

17.3 Class-action waiver. You and we agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any class or representative proceeding.

17.4 Exceptions. Either party may (a) bring an individual claim in small-claims court if it qualifies, and (b) seek injunctive or equitable relief in court for intellectual-property infringement or unauthorized access to the Service.

17.5 Opt-out. You may opt out of this arbitration agreement by emailing [legal@payzio.com] within 30 days of first accepting these Terms, stating your name and intent to opt out. Opting out does not affect the other provisions of these Terms.

17.6 Severability. If the class-action waiver is found unenforceable as to a particular claim, that claim will proceed in court, but the rest of this Section still applies.

18. Governing law

These Terms and any dispute are governed by the laws of the State of Delaware and applicable U.S. federal law, without regard to conflict-of-laws rules. Subject to Section 17, the state and federal courts located in [New Castle County, Delaware] have exclusive jurisdiction over matters not subject to arbitration. Nothing here deprives you of the protection of mandatory consumer-protection laws of your place of residence.

19. Suspension and termination

We may suspend or terminate your access to the Service, remove Content, or withhold or reverse payouts at any time if you violate these Terms, create risk or possible legal exposure for us or others, or as otherwise permitted by law. You may stop using the Service at any time. Sections that by their nature should survive termination (including Sections 6–9 and 14–18) will survive.

20. Changes to these Terms

We may update these Terms from time to time. We will revise the "Last updated" date and, for material changes, provide additional notice and may require renewed acceptance. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
